This Advisor Rules Policy forms part of the Member Agreement and is incorporated by reference therein. Capitalized terms not defined herein will have the meanings set forth in the Member Agreement and related policies.
1. In addition to the terms and conditions of the Member Agreement, you agree to comply with the following requirements in creating listings, providing Advisor Services and otherwise acting as an Advisor. Without limiting any other remedies PPC may have, PPC may immediately terminate your membership and use of the Site without notice if PPC suspects that you have violated any of the following requirements.
a. You will not provide any Advisor Services which require professional licensure, such as a physician, other health practitioner, attorney, accountant or financial planner, through the Site.
b. You will conduct all for-fee communications that you have with other Members only through the Site and you will not circumvent or attempt to circumvent the Site using third-party payment services.
c. You will not diagnose illnesses, provide treatments, prescribe medications or otherwise act as a medical care provider through the Site.
d. You will not offer or provide advice, directly or through writings, as to the value of securities or as to the advisability of investing in, purchasing or selling securities or any report or analysis concerning securities.
e. You will not offer advice or provide any product or services related to or claiming success with lottery numbers.
f. Where applicable, you will adhere to the requirements of record keeping laws such as 18 U.S.C. 2257 and the code of regulations applicable thereto including, but not limited to stating where records required under those laws and regulations are located or maintained with respect to your Advisor listing or providing information so that such record locations may be readily ascertained.
g. Entry to the Site requires age verification. You agree to abide by all PPC policies, including the terms and conditions of the Age Verification Agreement.
h. You will not use any banner advertisements or "pop up" windows or create or include links to sites which involve e-commerce, marketing, solicitation or sale of any items of any kind, whether related to or outside the scope of your Advisor listing.
i. You will not offer listings, create or distribute information, including but not limited to advertisements, press releases or other marketing materials, or include links to any sites which offer such information, containing or suggesting an endorsement by PPC of you, your listings or your Advisor Services. PPC reserves the right to warn, suspend or terminate at any time and without notice an Advisor account which it determines, in its sole discretion, is transmitting or is otherwise connected with such prohibited endorsement.
j. You are solely responsible for the content provided and the content on listings created under your Advisor account.
k. You will not use the Site for any purpose that is unlawful, fraudulent or contrary to this Advisor Agreement and the policies of PPC, and you will cooperate fully with PPC to investigate any suspected unlawful, fraudulent or improper activity, including but not limited to granting authorized PPC representatives access to any password-protected portions of your Advisor account.
l. You will not use the Site in any manner that harasses another Member or Advisor or could interfere with any other party's use or enjoyment of the Site. You will respect the privacy of others and not use the Site for unwelcome, rude or abusive communications.
m. You will not attempt to gain unauthorized access to any Member or Advisor account information, computer systems or networks associated with the Site.
n. You will not attempt to obtain any information or materials relating to the Site through any means not intentionally made available through the Site.
o. You will not "frame," "mirror" or otherwise copy any portion of the Site without PPC's express written authorization.
p. You will continue to provide true, accurate and complete payment registration information and will maintain as current and promptly update your personal contact information that you provide to PPC, as applicable. You will not use false identities or impersonate any other person or use a name that you are not authorized to use.
q. You will not encourage or instruct any other individual to do any of the foregoing or to violate any term of the Member Agreement and PPC policies.
2. You agree to hold PPC harmless regarding your use of the Site.
YOU AGREE TO HOLD HARMLESS, DEFEND AND INDEMNIFY PPC, AND ITS EMPLOYEES, SUBSIDIARIES, AGENTS AND REPRESENTATIVES, FROM AND AGAINST ANY LIABILITY ARISING FROM OR IN ANY WAY RELATED TO YOUR USE OF THE SITE OR PROVISION OF ADVISOR SERVICES, INCLUDING ANY LIABILITY OR EXPENSE ARISING FROM ALL CLAIMS, LOSSES, DAMAGES (ACTUAL AND CONSEQUENTIAL), SUITS, JUDGMENTS, LITIGATION COSTS AND ATTORNEYS' FEES, OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, FORESEEABLE AND UNFORSEEABLE, DISCLOSED AND UNDISCLOSED. In each case, PPC will provide you with written notice of such claim, suit or action. PPC shall have the right to withhold payments to you to offset liabilities and expenses covered hereunder.
3. The Site is only a venue for Advisor listings.
PPC acts only as an interface to facilitate communications initiated between Members and Advisors. As an Advisor, you are not an employee, agent or contractor of PPC, and you shall not represent that you are any of the foregoing. You are solely responsible for all equipment necessary to access and use the Site and Advisor Services, and for reporting and payment of all taxes associated with fees transferred to you by PPC.
